Endwave Acquires Synthesizer Product and Related Assets From Verticom, Inc.
Acquisition Broadens Endwave's Product Line to Address Needs Of New Military and Defense Customer
SUNNYVALE, CA -- May 13, 2003 -- Endwave Corporation, a leading provider of radio frequency (RF) subsystems for carrier-class, broadband wireless access and backhaul networks, today announced the acquisition of certain assets of Verticom, Inc., a privately held developer of radio subsystems used in wireless communications equipment for defense and commercial markets.
The acquisition was structured as an asset purchase, and included the product design for the MTS-2000 synthesizer, and the equipment and product-related intellectual property licenses required to manufacture production units. Also included in the transaction was an outstanding purchase agreement from Zeta, an Integrated Defense Technologies (IDT) Company, and a new Endwave customer. The company expects to begin shipping product to Zeta in the mid-2003 timeframe.
"This acquisition expands Endwave's synthesizer product line with the addition of an exceptionally high-performance unit to serve very high data rate applications such as satellite video links, or VSAT, used in defense imaging systems," said Ed Keible, CEO and President of Endwave Corporation. "This acquisition builds on our industry consolidation strategy, expands our adjacent market penetration, is expected to be financially accretive, and is complementary to our transceiver and synthesizer businesses."
Regarding Zeta, Mr. Keible commented, "we are pleased to welcome Zeta, a provider of state-of-the-art systems and components for defense and intelligence applications, as a new Endwave customer. We look forward to supplying them with the MTS-2000 synthesizer product and supporting their requirements in other areas in the future."
"We are pleased to have Endwave acquire the MTS-2000 synthesizer product, which is a critical component in our VSAT product solution," said Ms. Gina Steffen, Vice President of Manufacturing Services of Zeta-IDT. "Given their leading market position, technical excellence and strength in microwave subsystem manufacturing, we believe that Endwave is well suited to fulfill our future requirements."
