Boonton Electronics, WTT Agreement Terminated
Parsippany, NJ based N/A. has received notice from Wireless Telecom Group Inc. (Paramus, NJ) at the close of business on October 26, 1999, that WTT and WTT Acquisition Corp. elected to terminate the Agreement and Plan of Reorganization among the parties dated September 7, 1999.
In the original agreement, Noise Com said it would acquire Boonton for approximately $7 million (see Noise Com Acquires Boonton Electronics). Specifically, Noise Com said it would convert each share of Boonton common stock into 1.4 shares of Wireless Telecom Group, Noise Com's parent company, stock and an amount of cash equal to 0.175 times the closing price of Wireless Telecom Group common stock on the closing date.
If the merger went through, Boonton was going to become a wholly owned subsidiary of Noise Com. Now, however, the companies will continue to operate as separate entities. Boonton has forwarded the notice to legal counsel for its review.
